  • Lucid Motors confirmed late Monday that it’s agreed to a widely expected acquisition by special purpose acquisition company Churchill Capital Corp. IV (NYSE:CCIV).
  • The transaction includes some $2.1B in cash from CCIV and a $2.5B, fully committed private investment on public equity (PIPE) with an investor lock-up provision that binds holders well beyond closing. The PIPE is priced at $15 a share (a 50% premium to CCIV's net asset value) with an implied pro forma equity value of $24B.
  • The PIPE investment will come from the Public Investment Fund, as well as funds and accounts managed by BlackRock, Fidelity Management & Research, Franklin Templeton, Neuberger Berman, Wellington Management and Winslow Capital Management.
  • CCIV is sinking on the report, down 16.7% in after-hours action, trading at $48.79 shortly before 6:30 p.m. ET.
