depends on the kind of contract that prime vendor and client has.
Mostly emundadu.
Even if some kind of non-exclusive non-competetive agreement is there, the prime-vendor doesn't dare to take on the client because of the good relations they have.
Best thing to do is to talk openly with client and tell them the possible consequences. If he is ready to face it then no issues for you.
