NONCOMPETITION:  During the term of the contracting assignment and for a period of two (2) years immediately following the contracting assignment, Consultant, shall not, without the prior written consent of XYZ(Vendor), which consent shall not be unreasonably withheld, work as a Contractor, Subcontractor or Employee, either directly or indirectly for any of XYZ(VENDOR)'s Clients or XYZ(VENDOR)'s Clients' nominees, including current client where Consultant has worked or interviewed, or has a knowledge of a Client opportunity as a direct or indirect result of Consultant's interaction with XYZ(VENDOR).
