Facebook market cap is $524 Billions. When a competitor(say X) comes and takes away 50% of active uses of FB, even if X doesn't make money off of ads, it will be valued as a killer of FB. So, it is valued at 12.5% of FB market cap.

Companies buy competitors out to get rid of the competition: FB with whatsapp; Oracle buying off Peoplesoft; etc.
