Quick question regarding business

India lo friend USA lo unna inko friend tho business run chedam anukuntunadu… he wanted to know if it is possible to have an agreement in a way that he gets share in in the profits and not liable for losses… usa lo vadu company ni vere transactions ki vadi .. final ga loss naa meda veyakudadu kada annadi vadi point…

I know legal ga paper work tricky..

any suggestions?

Very clear Samara, in either case, the investment from one country into another country means:

1. The investment will be foreign investment for the host country. Hence the local Laws apply, in this case the Laws of particular state of USA.

2. The source country is India and the investment made by the source country is NOT covered by the Laws of the source country unless the source money itself is illegally gained like Yesu Reddy or Gali J Reddy companies. In which case there should be some whistle blower like MLA Shankar Rao. Untill then nothing stops to invest in USA.

3. Your friend in India has to travel to USA and file the case with the Courts in that State of USA. And your friend in India also have to prove to the court in a State of USA that his source of income is legal in India.

Only emotional bonds will work in your case, Legal bonds are difficult

First point. Why would the other party agree for this kind of agreement.

second point. Looks like the first person doesnt trust the second person. So why is he even thinking of doing business with him?

Ask your India friend to open a Corp /LLC in USA and then make that US Corp to sign an agreement with American friend. It's better this way. Terms are up to both of them.

Yea other party is open to what ever way he suggests..

first person is being protective as he is not in usa and dosent want to be liable for the things that happen out of his control..

You don't need a visa for opening a Corp. You can do it all online. All you need is an address.  But it's better your friend gets a B Visa for any future visits pertaining to his Corp.

You don't need SSN. You can do it using EIN or ITIN.

Friendly opinion. Something shady with usa person. Ilanti deal ki oppukunnadu antey.

since multiple countries will be involved, it will be uphill battle to fight legally if something goes wrong.

Ein file cheyal Anna .. u need some kind of visa or  presence here how can you file taxes ..

Try ITIN . You don't really need to be in US.You can have someone else file your taxes. At some point getting a B VISA is desirable though.
